Terms of Service

These Terms are a binding agreement between you and Verum Inc., a Delaware corporation (“Verum,” “we,” “us”) governing your use of the Verum service. Please read them carefully. By creating an account or using Verum, you agree to these Terms and to our Privacy Policy. If you are using Verum on behalf of an organization, you agree on its behalf and represent that you are authorized to do so.

1.The service

Verum is a context layer for AI coding agents. It connects a codebase’s structural graph (functions, classes, and call chains parsed from source you connect) to a business knowledge graph (features, decisions, owners, and history extracted from documents, tickets, and messages you connect), and exposes that combined context to your agents — over the Model Context Protocol (MCP) and a web dashboard — while measuring and optimizing the context tokens each answer consumes.

Verum is offered on an evolving basis and may include beta or experimental features. We may add, change, suspend, or remove features at any time. We will use reasonable efforts to give notice of material changes that adversely affect your use.

2.Accounts & eligibility

To use Verum you must create an account and be at least 16 years old (or the age of digital consent in your jurisdiction, if higher). You agree to:

provide accurate account information (a valid email address) and keep it current;
keep your password and any agent access tokens confidential — you are responsible for all activity under your account and tokens;
notify us promptly (see Contact) of any unauthorized use or suspected compromise.

We authenticate sessions with a signed, http-only cookie and store your password only as a salted one-way hash — we never store your password in readable form.

Password reset works. Requesting a reset from the sign-in screen sends a single-use link to your address, which expires within an hour. For your protection the screen answers identically whether or not an address is registered, so a confirmation on screen is not itself proof that a message went out. Note that delivery depends on the deployment you are using having an email provider configured: the hosted service refuses to start without one, but a self-hosted deployment without one will accept the request and deliver nothing.

A password-reset link is the only email Verum sends. There is no notification or service-announcement mail, which is why the notices contemplated by these Terms are given in the app (see §15).

3.Your content & data

“Customer Data” means the code, documents, messages, tickets, queries, and other content you (or the sources you connect) provide to Verum, and the structured facts Verum derives from it.

You own your data

As between you and Verum, you retain all rights, title, and interest in your Customer Data. We claim no ownership of it.

License to operate the service

You grant us a limited, non-exclusive, worldwide license to host, copy, process, transmit, and display your Customer Data solely as needed to provide, secure, maintain, and improve the service for you — including sending relevant content to our AI subprocessor to extract and organize context (see §4 and the Privacy Policy). This license ends when your Customer Data is deleted from our systems, except for residual copies in routine backups pending their expiry.

Your responsibility for what you connect

You represent that you have the necessary rights and permissions to provide the Customer Data and to connect the repositories, workspaces, and accounts you connect, and that doing so does not violate any law or any third party’s rights. Do not connect data you are not authorized to share.

Export & deletion

You can export and delete your data yourself, from within the product. Both controls are in the app under “Your data”. A workspace owner or admin can download a workspace as a newline-delimited JSON file; a workspace owner can delete a workspace, confirmed by typing its name; and any account holder can delete their account, confirmed by typing their email address and — where the account has one — their password.

Deletion is immediate, irreversible, and has no grace period. There is no trash, no restore, and no backup you can be restored from. Deleting a workspace erases its Customer Data; deleting your account removes your identity, memberships and tokens but does not erase workspaces you shared with others. If you are the only owner of a workspace, account deletion is refused until that workspace has another owner or is deleted.

Two limits matter and are stated rather than buried. The export is not a complete copy of the code graph — the relationships between code symbols are a bounded snapshot, and the file reports the exact counts and flags the truncation; every symbol is exported in full and the full set can be rebuilt by re-indexing the repository you supplied. And deletion does not reach everything: backups pending their expiry, error reports held by our monitoring provider, short-lived server logs, and any access you granted directly at GitHub or Slack survive it. Privacy Policy §11 sets all of this out in full — please read it before relying on this section.

Nothing you put into Verum is removed on a schedule; deletion happens when you ask for it.

4.AI features & disclosures

Verum uses large language models to extract facts from the content you connect, to disambiguate entities, and to help assemble and optimize the context delivered to your agents. Which model runs is a setting of the deployment you use; the hosted service at tryverum.com currently runs a Qwen model in a Verum-controlled container on Modal’s GPU infrastructure, and does not send your content to Anthropic or any other third-party model API. See Privacy Policy §5 for the full subprocessor list. You are interacting with, and relying on the output of, automated AI systems.

AI output can be incomplete, outdated, or incorrect (“hallucinated”). Verum is a tool to reduce — not a guarantee against — such errors.
You are responsible for reviewing and validating AI-assisted output before relying on it, especially for anything consequential. Verum does not provide legal, financial, security, or other professional advice.
Verum’s optimization may omit context it scores as low-value for a given query; this is by design and may affect answers.

5.No training on your data

We do not use your Customer Data to train foundation or generative AI models, and we do not sell it. Content sent to our AI subprocessor is used only to process your requests. Verum’s own learning loop tunes context-selection weights from your workspace’s usage to improve your results; it does not build or contribute to any shared/third-party model, and its signals are scoped to your workspace.

6.Acceptable use

You agree not to, and not to permit anyone to:

use Verum in violation of any law or to infringe, misappropriate, or violate any third party’s intellectual-property, privacy, or other rights;
connect or upload data you lack the right to share, or that contains malware;
attempt to gain unauthorized access to the service, other tenants’ data, or our systems; probe, scan, or test the vulnerability of the service except under a program we authorize in writing;
reverse engineer, decompile, or attempt to derive source code except to the extent this restriction is prohibited by law;
resell, sublicense, or provide the service to third parties except as expressly permitted;
circumvent rate limits, usage quotas, tenant isolation, or authentication;
use the service to build a competing product, or interfere with its integrity or performance.

We may suspend access to prevent harm, protect the service or other users, or address a violation, with notice where practicable.

7.Third-party integrations

Verum can connect to third-party services you choose. Today that means GitHub and Slack — Slack’s control is inert on a deployment whose operator has not configured Slack credentials, and Linear is not available at all. Your use of a connected service is governed by its own terms and privacy policies, not these Terms. You authorize us to access and process data from a connected service on your behalf to the extent you grant.

You can disconnect a source from the product (workspace owners and admins). Disconnecting does three distinct things, and it is worth being precise about each:

It stops future ingestion from that source, immediately.
It attempts to revoke our access at the provider — uninstalling our GitHub app installation, or invalidating our Slack token. This is best-effort: the attempt can fail, and it is deliberately skipped when another Verum workspace still holds the same grant, so that disconnecting one workspace cannot break another. The product tells you which outcome you got. If it did not succeed, remove Verum from the third-party service’s own settings — that step is entirely within your control and is the only one we cannot fail at for you.
It does not delete content already ingested. Facts we extract are merged and de-duplicated across sources, so subtracting one source’s contribution after the fact cannot be done accurately, and we would rather retain and say so than offer a control that deletes the wrong things. To erase already-ingested content, delete the workspace under §3.

Deleting a workspace destroys our stored credentials and attempts to revoke your grant at GitHub or Slack, but that attempt is best-effort: it can fail if the provider is unreachable, and it is skipped where another workspace still relies on the same grant. Because the workspace is gone by then, a failed revocation cannot be retried for you. If it matters that access is definitely gone, remove Verum in your GitHub or Slack settings yourself. We are not responsible for third-party services or for data you direct us to obtain from them.

8.Intellectual property

Verum, including its software, models of orchestration, design, and documentation, and all related intellectual-property rights, are and remain owned by Verum and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the service — no other rights are granted by implication.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

9.Plans & fees

Verum may be offered free of charge, in beta, and/or under paid plans. If you subscribe to a paid plan, the applicable fees, billing cycle, and terms will be presented at purchase and incorporated here by reference. Except where required by law or expressly stated, fees are non-refundable. We may change pricing prospectively with reasonable advance notice.

10.Confidentiality

Each party may receive non-public information of the other. The receiving party will use it only to exercise its rights and perform its obligations under these Terms, protect it with reasonable care, and not disclose it except to personnel and subprocessors who need it and are bound by comparable confidentiality obligations. Your Customer Data is your confidential information.

11.Term & termination

These Terms apply while you use Verum. You may stop using Verum at any time, and you may close your account yourself under §3. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the service, with notice where practicable. On termination your right to use the service ends. Export yourself before you delete or terminate — deletion is immediate and irreversible, so once a workspace is gone we cannot produce an export of it, and we do not offer a post-termination export window. Terminating your access does not by itself delete your Customer Data; deletion happens when you delete a workspace or account, as described in §3 and the Privacy Policy. Sections that by their nature should survive termination (including §3, §8, §12–§14, and §16) survive.

12.Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13.Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR YOUR PAYMENT OBLIGATIONS AND EITHER PARTY’S BREACH OF §10 OR YOUR BREACH OF §6, EACH PARTY’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $1,000. THESE LIMITS ARE AN AGREED ALLOCATION OF RISK AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

14.Indemnification

You will defend and indemnify Verum against third-party claims, damages, and reasonable costs arising from your Customer Data, your use of the service in breach of these Terms, or your violation of law or third-party rights, except to the extent caused by Verum.

15.Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and take reasonable steps to notify you. Because a password-reset link is the only email the product sends (see §2), that notice will be an in-app one, so please check this page periodically. Changes are effective when posted unless stated otherwise; your continued use after they take effect means you accept them. If you do not agree, stop using the service and close your account.

16.Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction. Nothing here limits any non-waivable statutory rights you have as a consumer in your place of residence.

17.General

These Terms and the Privacy Policy are the entire agreement between you and Verum regarding the service and supersede prior agreements on that subject. If any provision is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries. Neither party is liable for delays or failures caused by events beyond its reasonable control.

A support email and registered mailing address have not been published yet — this section will be updated with real contact details before this policy is finalized. Export and deletion no longer depend on this section, because §3 describes controls you operate yourself. Everything else still does: there is no published way to reach us at all, including for the compromise notification §2 asks you to send us, for support, or for any dispute under these Terms.
